Jury Agrees That Distribution of Funds Did Not Violate LLC's Operating Agreement


We represented our client against allegations that distributions of funds made in 2001 to the members of a limited liability company of which our client was a member violated the company's operating agreement.  At trial, the plaintiffs presented a contract interpretation that was inconsistent with both the operating agreement's plain language and the members' prior practices.  After a one-week trial, the jury agreed with our interpretation of the agreement, and entered a verdict largely in our client's favor.
